1. Business-to-Business (B2B) Nature of Sales

dm-alpha operates strictly as a commercial wholesale manufacturer. By placing an order with us, you confirm that you are purchasing goods for commercial, professional, or business use, and not for personal, family, or household use. Consequently, consumer protection laws relating to retail purchases do not apply to transactions made with dm-alpha.

2. Quotes, Orders, and Minimum Order Quantities (MOQ)

All quotes provided by dm-alpha are valid for 30 days unless otherwise stated. Due to the nature of factory-direct manufacturing, all products are subject to Minimum Order Quantities (MOQs), which vary depending on the product, GSM, and custom OEM requirements. An order is only considered accepted and legally binding once we have issued a formal Order Confirmation and received the required deposit.

3. Pricing and Payment Terms

All prices are quoted exclusive of Value Added Tax (VAT) and shipping costs unless explicitly stated otherwise (e.g., CIF pricing). Standard payment terms for custom manufacturing require a 30% to 50% non-refundable deposit before production begins, with the balance due before shipment or against the Bill of Lading (B/L) copy, as agreed in writing.

4. Manufacturing Tolerances

Because textiles are manufactured from natural cotton fibers, slight variations may occur. By placing a wholesale order, you accept the following industry-standard tolerances:

• Weight (GSM): A variance of +/- 5% in the final GSM weight of towels, bathrobes, or bed linens is considered acceptable.
• Dimensions: A variance of +/- 3% in length and width is permissible.
• Color Matching: While we utilize precision reactive dyeing, minor shade variations between different production batches may occur.

5. OEM and Private Label Manufacturing

If you request custom embroidery, labeling, or specific designs, you warrant that you hold the legal right, trademark, or license to use said designs. You agree to indemnify dm-alpha against any claims of intellectual property infringement arising from the manufacturing of your custom specifications.

6. Delivery, Risk, and Title

We ship internationally on FOB (Free On Board) and CIF (Cost, Insurance, and Freight) terms. Delivery dates provided are estimates only. While we strive to meet all deadlines, dm-alpha shall not be liable for any losses or damages caused by delays in manufacturing or global freight transit. Risk of loss passes to the buyer according to the agreed Incoterms. Title to the goods remains with dm-alpha until full payment has been received.

7. Limitation of Liability

dm-alpha's total liability for any claim arising out of a commercial contract shall not exceed the total purchase price of the defective goods. Under no circumstances shall dm-alpha be liable for any indirect, consequential, or economic loss, including but not limited to loss of profits, loss of business, or loss of goodwill.

8. Governing Law and Jurisdiction

These Terms & Conditions and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of England and Wales. Both parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
